GOMME TERMS OF SERVICE

Welcome, and thank you for your interest in Gomme Inc. (“Gomme,” “we,” or “us”) and our website at www.getgomme.com, along with our related websites, content, mobile or downloadable applications, and other services provided by us (collectively, the “Service”). These Terms of Service are a legally binding contract between you and Gomme regarding your use of the Service.

PLEASE READ THE FOLLOWING TERMS CAREFULLY:

BY CLICKING “I ACCEPT” OR BY DOWNLOADING, INSTALLING, OR OTHERWISE ACCESSING OR USING THE SERVICE, YOU AGREE THAT YOU HAVE READ AND UNDERSTOOD, AND, AS A CONDITION TO YOUR USE OF THE SERVICE, YOU AGREE TO BE BOUND BY, THE FOLLOWING TERMS AND CONDITIONS, INCLUDING GOMME'S PRIVACY POLICY (available at www.getgomme.com/privacy-policy) (TOGETHER, THESE “TERMS”). IF YOU ARE NOT ELIGIBLE, OR DO NOT AGREE TO THE TERMS, THEN YOU DO NOT HAVE OUR PERMISSION TO USE THE SERVICE. YOUR USE OF THE SERVICE, AND GOMME'S PROVISION OF THE SERVICE TO YOU, CONSTITUTES AN AGREEMENT BY GOMME AND BY YOU TO BE BOUND BY THESE TERMS.

YOU AGREE TO RECEIVE TEXTS/CALLS FROM OR ON BEHALF OF GOMME AT THE PHONE NUMBER YOU PROVIDE TO US. THESE TEXTS/CALLS WILL INCLUDE OPERATIONAL COMMUNICATIONS ABOUT YOUR USE OF THE SERVICE AND MARKETING COMMUNICATIONS. YOU UNDERSTAND AND AGREE THAT THESE TEXTS/CALLS MAY BE CONSIDERED TELEMARKETING UNDER APPLICABLE LAW, THEY MAY BE SENT USING AN AUTOMATIC TELEPHONE DIALING SYSTEM OR OTHER AUTOMATED TECHNOLOGY, AND YOUR CONSENT IS NOT A CONDITION OF ANY PURCHASE.

1. Gomme Services Overview

Gomme provides an online platform that allows students and parents of students (“Students”) to post academic support requests, and allows tutors (“Tutors”)to apply to those requests. The platform facilitates communication and matching between Students and Tutors for the purpose of enabling tutoring sessions (“Tutoring”).

1.1 Disclaimer

Gomme does not provide any tutoring services directly. We do not employ Tutors, nor do we certify, supervise, or guarantee the quality of any tutoring provided.

Tutors are independent service providers, not employees, agents, or representatives of Gomme. Tutors must not claim or imply that they are endorsed, verified, or approved by Gomme beyond the basic profile screening required to use the platform. If you are a Tutor, you are solely responsible for: the accuracy of the information in your profile, the quality and content of the tutoring you provide, ensuring that your sessions meet reasonable standards of professionalism and care. If you are a Student or parent, any decision to accept a Tutor's application or act on their advice is made entirely at your own risk and discretion. Gomme does not monitor or guarantee the results of any tutoring engagement and is not responsible for any learning outcomes, grades, or session quality.

1.2 Agreements Between Students and Tutors

Any payment terms, scheduling, and session agreements are handled directly between the Tutor and Student. Gomme is not a party to any agreement between Tutors and Students, and any disputes must be resolved between those parties directly. You acknowledge and agree that (i) Gomme is not a party to any such agreement between Tutors and Students, and (ii) any dispute between Students and Tutors is solely between Students and Tutors.

2. Eligibility

You must be at least 18 years old to use the Service. By agreeing to these Terms, you represent and warrant to us that: (a) you are at least 18 years old; (b) you have not previously been suspended or removed from the Service; (c) your registration and your use of the Service is in compliance with any and all applicable laws and regulations; (d) you have the full right, power and authority to enter into these Terms, to grant the rights and licenses set forth herein, and to perform your obligations under these Terms; and (e) your use of the Service, your agreement to these Terms, and your performance of your obligations under these Terms does not, and will not, conflict with, result in a breach of, or otherwise be inconsistent with any agreement with a third party that you are bound by. If you are not at least 18 years old, you represent and warrant that you have your parent's or guardian's permission to use the Service and to agree to these Terms. If you are a parent or legal guardian of a user under the age of 18, by allowing such underage user to use the Service, you are subject to the terms and conditions of these Terms and are solely responsible for their activity on the Service.

3. Accounts & Conduct

3.1 General

To access most features of the Service, you must register for an account. When you register for an account, you may be required to provide us with some information about yourself, such as your name, email address, or other contact information. You agree that the information you provide to us is accurate, complete, and not misleading, and that you will keep it accurate and up to date at all times. When you register, you will be asked to create a password. You are solely responsible for maintaining the confidentiality of your account and password, and you accept responsibility for all activities that occur under your account.

3.2 Conduct

Users must provide accurate information when creating an account or submitting a request. You agree not to use GOMME for any illegal or harmful activity, impersonate others, contact users outside of agreed purposes, engage in fraud or harassment. We reserve the right to suspend or delete accounts that violate these Terms.

4. General Payment Terms

Certain features of the Gomme platform may require the payment of fees. Before any fees are charged, you will have the opportunity to review and accept the amount and purpose of the fee. All fees are non-refundable unless otherwise specified in these Terms or in GOMME's Refund Policy.

4.1 Price

GOMME reserves the right to determine pricing for its services, including match fees and subscription options. We will make reasonable efforts to keep pricing information published on the platform up to date. GOMME may adjust pricing at any time with advance notice before changes take effect. From time to time, GOMME may offer promotional pricing or special offers to selected users; unless those offers are made directly to you, they will not affect the pricing or terms you are subject to.

4.2 Tutor Match Fee

Tutors pay a one-time fee when selected by a student or parent in order to access that user's contact details and begin the tutoring relationship. This fee is charged only when a tutor is selected and is non-refundable unless otherwise specified in the Refund Policy.

4.3 Refunds

For details on our refund process, eligibility, and exceptions, please see our Refund Policy. Gomme may update the Refund Policy from time to time. It is your responsibility to review it before making any payment.

4.4 Payment Authorization

By submitting your payment information to Gomme or our payment processor, you authorize us to charge your designated payment method for any fees incurred through the use of the platform. This includes match fees, subscription fees, or any other applicable charges. If you are using a credit or debit card, Gomme may seek pre-authorization to verify that your card is valid and has sufficient available funds.

4.5 Subscription Services

Gomme may offer a subscription plan to tutors that provides additional platform features such as unlimited applications, increased visibility, or discounted match fees (“Subscription Service”). The subscription will automatically renew unless canceled at least 7 days before the end of the billing cycle. You may cancel by emailing us or directly through your account settings, where applicable. Your account will be charged at the start of each subscription period unless canceled in accordance with these Terms.

4.6 Delinquent Accounts

If your payment fails or your account has unpaid fees, Gomme reserves the right to suspend or restrict your access to the platform. You are responsible for any additional fees incurred in the collection of unpaid amounts, including but not limited to chargeback and processing fees. Gomme may, at its discretion, delete your account or any associated information in the event of ongoing non-payment.

5. Communications

You agree that Gomme and those acting on our behalf may call and send you text (SMS, WhatsApp) messages at the phone number you provide us. These calls and messages may include operational calls or messages about your use of the Service, as well as marketing calls or messages. Calls and text messages may be made or sent using an automatic telephone dialing system. Standard data and message rates may apply whenever you send or receive such calls or messages, as specified by your carrier. IF YOU WISH TO OPT OUT OF MARKETING CALLS AND TEXT MESSAGES FROM GOMME, YOU CAN EMAIL US. You may continue to receive calls and text messages for a short period while we process your request, including a message confirming the receipt of your opt-out request. Your agreement to receive marketing calls and texts is not a condition of any purchase on or use of the Service.

6. Prohibited Conduct

BY USING THE SERVICE, YOU AGREE NOT TO:

• use the Service for any illegal purpose or in violation of any local, state, national, or international law;
• harass, threaten, demean, embarrass, bully, or otherwise harm any other user of the Service;
• violate, encourage others to violate, or provide instructions on how to violate, any right of a third party, including by infringing or misappropriating any third-party intellectual property right;
• access, search, or otherwise use any portion of the Service through the use of any engine, software, tool, agent, device, or mechanism (including spiders, robots, crawlers, and data mining tools) other than the software or search agents provided by Gomme;
• interfere with security-related features of the Service, including by: (i) disabling or circumventing features that prevent or limit use, printing or copying of any content; or (ii) reverse engineering or otherwise attempting to discover the source code of any portion of the Service except to the extent that the activity is expressly permitted by applicable law;
• interfere with the operation of the Service or any user's enjoyment of the Service, including by: (i) uploading or otherwise disseminating any virus, adware, spyware, worm, or other malicious code; (ii) making any unsolicited offer or advertisement to another user of the Service; (iii) collecting personal information about another user or third party without consent; or (iv) interfering with or disrupting any network, equipment, or server connected to or used to provide the Service;
• perform any fraudulent activity including impersonating any person or entity, claiming a false affiliation or identity, accessing any other Service account without permission, or falsifying your age or date of birth;
• sell or otherwise transfer the access granted under these Terms or any Materials (as defined in Section 6) or any right or ability to view, access, or use any Materials;
• if you are a Student, use or disclose any non-public, proprietary information, “know how,” or material (a) disclosed or made available by, or otherwise received from, a Tutor, or (b) otherwise learned by, you (directly or indirectly) through Tutoring, in each case, in a manner that the Tutor has not authorized in advance;
• if you are a Tutor, use or disclose any non-public, personal information or material (a) disclosed or made available by, or otherwise received from, a Student, or (b) otherwise learned by, you (directly or indirectly) through Tutoring, in each case, in a manner that the Student has not authorized in advance;
• if you are a Tutor, perform any act or omission that, in any way, is intended to circumvent, avoid, or reduce the payment of the Gomme Fee;
• if you are a Tutor, directly contact any Student or third party that you are introduced to through the Service or solicit, induce, or encourage any of them to directly engage or transact business with you in your capacity as a Tutor, in each case, through means other than through the Service (except at such Student's or third party's request); or
• attempt to do any of the acts described in this Section 6 or assist or permit any person in engaging in any of the acts described in this Section 6.

7. Modification of Terms

We may, from time to time, change these Terms. Please check these Terms periodically for changes. Revisions will be effective immediately except that, for existing users, material revisions will be effective 30 days after posting or notice to you of the revisions unless otherwise stated. We may require that you accept modified Terms in order to continue to use the Service. If you do not agree to the modified Terms, then you should discontinue your use of the Service.

8. Termination

You may stop using Gomme at any time. We may suspend or remove your account if you violate these Terms or engage in harmful behavior on the platform.

9. Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of Lebanon. Any disputes shall be subject to the exclusive jurisdiction of Lebanese courts.
